Terms and Conditions of Sale


Welcome to Foshan JianLiang Optoelectronics Technology Co., Ltd. These Terms and Conditions govern the sale of products by JianLiang to you (the "Buyer"). By placing an order with us, you agree to be bound by the following terms.


1. Quotations and Orders


1.1 Price Validity: All quotations provided by the Seller are valid for 30 days from the date of issue, unless otherwise stated, due to fluctuations in raw material (glass) and logistics costs.


1.2 Order Confirmation: An order is considered confirmed only upon receipt of the required deposit (standard 30% for bulk orders) and written confirmation from the Seller.


1.3 Minimum Order Quantity (MOQ): MOQs apply to all products. The Seller reserves the right to decline orders that do not meet the specified MOQ for standard or custom items.


2. Customization and OEM/ODM Services


2.1 Intellectual Property: For all OEM/ODM orders, the Buyer warrants that they own or have the legal right to use all logos, branding, and artwork provided for printing or packaging.


2.2 Liability: The Seller shall not be held liable for any trademark or copyright infringement resulting from branding requested by the Buyer. 2.3 Approval: For custom packaging or silk-screen printing, production will only commence after the Buyer provides written approval of the final digital or physical sample.


3. Payment Terms


3.1 Standard Terms: Unless otherwise agreed in writing, the payment structure is 30% deposit before production and 70% balance payment before shipment.


3.2 Transaction Costs: All bank charges, transaction fees, and currency conversion costs are the responsibility of the Buyer.


4. Shipping and Delivery


4.1 Incoterms: Unless specified otherwise, all trade is conducted under EXW (Ex Works) or FOB (Free on Board) terms.


4.2 Risk Transfer: The risk of loss or damage to the products passes to the Buyer once the goods are handed over to the carrier.


4.3 Delays: The Seller is not liable for delays caused by customs clearance, port congestion, or force majeure events (e.g., natural disasters, strikes).


5. Inspection and Quality Claims


5.1 Inspection Period: The Buyer must inspect the goods immediately upon arrival. Any claims regarding quantity shortages or visible external damage must be submitted in writing within 7 days of delivery.


5.2 Defect Rate: As per industry standards for mass-produced tempered glass, a functional defect rate of less than 0.3% is considered acceptable and does not qualify for a claim.


5.3 Evidence Requirement: All quality claims must be accompanied by high-resolution photos and/or video evidence showing the batch number and the specific defect.


6. Limitation of Liability


The Seller’s maximum liability for any order shall not exceed the total price paid by the Buyer for the specific goods that are the subject of the claim. The Seller is not liable for any indirect, incidental, or consequential damages.


7. Governing Law


These Terms and Conditions shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these terms shall be submitted to the jurisdiction of the courts in Foshan, Guangdong Province, China.
